Welcome to the Fund Launch Marketplace, an open marketplace owned and operated by Brains LLC d.b.a. Fund Launch ("Brains," "we," "our," or "us"). By using our marketplace, you agree to the following terms of service ("Terms").
Description of Service: The Fund Launch Marketplace is an online platform that connects emerging fund managers seeking capital with investors. We provide a marketplace where users can create and share fundraising campaigns, raise capital, and invest in projects. We are not a financial institution and do not provide investment advice.
Eligibility: To use our services, you must be at least 18 years old and capable of entering into a binding agreement. By using our services, you represent and warrant that you meet these eligibility requirements and that all information you provide to us is accurate and complete.
User Conduct: You agree to use our services in accordance with these Terms and all applicable laws and regulations. You agree not to use our services for any fraudulent or illegal purpose, including but not limited to:
a. Posting false or misleading information on our platform;
b. Misrepresenting yourself or your project to investors;
c. Engaging in any other fraudulent or deceptive activity.
User Content: You are solely responsible for all content that you upload, post, or otherwise transmit through our services ("User Content"). You retain ownership of all User Content, but you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with our services.
Investment and Fundraising: Fund Launch provides a platform for fundraising and investment, but we do not provide investment advice or endorse any specific project or investment opportunity. All investments made through our platform are at the sole risk of the investor, and we disclaim all liability for any loss or damage resulting from any investment made through our platform.
Fees: Issuers will pay a fee to Fund Launch for each verification of accreditation for investors into their offerings. These fees are subject to change, and we will notify you of any changes before they take effect.
Intellectual Property: The Fund Launch Marketplace platform and all content, trademarks, logos, and other intellectual property related to our services are owned by Brains LLC or our licensors. You agree not to use any of our intellectual property without our prior written consent.
Termination: We reserve the right to terminate your access to our services at any time and for any reason, without notice. Upon termination, all licenses granted to you will immediately terminate, and you must immediately cease all use of our services.
Indemnification: You agree to indemnify and hold Brains LLC, its affiliates, officers, directors, employees, agents, and licensors harmless from any and all claims, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising from your use of our services, your User Content, or your breach of these Terms.
Limitation of Liability: To the maximum extent permitted by law, Brains LLC and its affiliates, officers, directors, employees, agents, and licensors will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services.
Dispute Resolution: These Terms will be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any principles of conflicts of law. Any dispute arising under these Terms will be resolved exclusively in the state or federal courts located in Utah.
Changes to Terms: We reserve the right to modify these Terms at any time, without notice. Your continued use of our services after any such modification constitutes your acceptance of the modified Terms.
Entire Agreement: These Terms, along with any additional terms and conditions provided to you in the Black Card terms of service.
